1. TONY LAM PRODUCTIONS, LLC ("the Licensor") will provide the Licensee with a web address to download a digitized copy of VINCENT WHO? ("the Film").
2. To protect the rights of the Licensor, the digital file will contain a unique hidden digital signature that identifies the Licensee.
3. The Licensor grants to the Licensee a non-exclusive Streaming License to use the digital file of the Film on a single secure server, with a password-protected connection via a closed circuit network that is unavailable to the public and exclusively available to the Licensee's registered and authenticated current students, current faculty and staff.
4. The Licensee agrees that it will take all reasonable measures to protect the rights of the producers of the Film under U.S. copyright laws. Such measures shall include education of campus users in copyright law and warnings about copyright infringement when accessing the Licensee's digital network.
5. The Licensee specifically understands and agrees that the digital file containing the Film may not be downloaded (or be capable of being downloaded) from the Licensee's server to any workstation or user.
6. Contents of the Film may not be altered or edited in any manner. No other copies of the downloaded digital file or the Film may be made.
7. This License specifically does not include the right for the Licensee to transfer the Film to any other medium or format, or to transmit it in any form, except as specified above.
8. It is understood and agreed that the Licensee may not transfer this License to any other party, individual, organization or institution. The Licensee agrees that it will forward any inquiries regarding further use of the Film to the Licensor via www.VincentWhoFilm.com.
9. The Licensor grants the Licensee the right to classroom and library use of the Film, and the right to stream the Film to its students, faculty and staff, on campus and satellite campus grounds, but may not stream the Film in a screening where admission is charged.
10. If the Licensee wishes to hold a screening of VINCENT WHO? where admission is charged, the event is advertised off-campus, and/or members of the general public are invited and admitted, Licensee must obtain Licensor's prior written permission and an additional fee may be requested.
11. This License is granted upon payment of the purchase price. The term of this License shall be for the life of the original digital file and the life of the exact DVD(s) delivered.
